This Business Listing Agreement ("Agreement") is between TidingsView LLC ("TidingsView," "we," "us") and the business or individual ("you," "Subscriber") submitting a listing through tidingsview.com. By submitting a listing and completing payment, you agree to be bound by this Business Listing Agreement. You represent that you are at least 18 years old and legally authorized to enter agreements on behalf of your business.
TidingsView provides a geographic news and local business directory platform. A listing includes: • Placement in the local business directory for your city • A listing card visible to readers browsing your region • Access to The Tiding — a 141-character live update field • A business dashboard for managing your listing • Aggregated analytics showing views, website clicks, and saves Charter Member subscriptions include the option to add multiple locations at signup — all covered under the single $19/month rate. See §3. Analytics data provided in your dashboard reflects aggregated, anonymized reader activity and does not identify individual users. A view is counted once each time a user's browser loads the listing panel while browsing your city or region. A click is counted each time a user clicks through to your business website from TidingsView. A save is counted each time a user bookmarks your listing. The saves count is a cumulative total of save events recorded, not a count of unique users — a user who clears their browser data and saves your listing again may be counted more than once. Analytics are provided for informational purposes only and may vary based on reader activity in your region. Your use of TidingsView is also governed by our Privacy Policy at tidingsview.com/privacy, which is incorporated into this Agreement by reference. We do not guarantee any specific amount of traffic, leads, or business results. Visibility depends on reader activity in your region. TidingsView does not guarantee placement in any specific geographic position on the map or priority over other listings. TidingsView will make commercially reasonable efforts to maintain platform availability but does not guarantee uninterrupted service.
Listings are billed monthly via Stripe. IMPORTANT: Your subscription automatically renews each month until you cancel. You will be charged the applicable monthly rate on the same date each month. To avoid being charged for the next billing period, you must cancel before your renewal date through your billing portal. Your subscription begins when payment is confirmed and your listing is approved. Standard listings are $29/month. Charter Member listings are $19/month, locked for the life of your subscription as long as your subscription remains active without lapse. Charter Member subscriptions include the option to add multiple locations at signup — all locations are covered under the single $19/month rate, activate together when payment is confirmed, and deactivate together if the subscription is cancelled or lapses. If you cancel, your Charter Member rate and multi-location setup are both forfeited. If the Charter Member program is still open at the time of resubscription, you may make a new one-time contribution of $99 to re-enter the program — this is treated as a new enrollment, and the $19/month rate applies going forward on that new subscription. If the Charter Member program has closed before your resubscription, the then-current standard rate applies and Charter Member enrollment is no longer available. Payments are processed securely by Stripe. TidingsView does not store your payment information. You may cancel at any time through your billing portal. Cancellation takes effect at the end of your current billing period, and your listing will remain active through that date. Upon cancellation, you will receive an email confirmation stating the date your listing will be deactivated. This Agreement may be assigned by TidingsView in connection with a merger, acquisition, or sale of assets. You will be notified of any such assignment. Subscribers may not assign their listing or subscription to any other party.
The Charter Member badge is awarded to Subscribers who make a voluntary one-time contribution of $99 or more at the time of signup. This contribution is non-refundable, except as provided in §5 (Review and Activation). It does not represent equity, ownership, or any financial stake in TidingsView LLC. The badge is displayed on your listing card for the duration of your active subscription. TidingsView reserves the right to modify the visual design of the Charter Member badge while maintaining its functional purpose. If your subscription is cancelled or lapses, the badge is permanently removed. If the Charter Member program is still open at the time of your resubscription, you may make a new one-time contribution of $99 to receive the badge on your new subscription — this is treated as a new enrollment, not a restoration of your prior membership. If the Charter Member program has closed, the badge is no longer available to new or returning subscribers. TidingsView reserves the right to close the Charter Member program to new enrollments at any time, with at least 30 days advance notice. Active Charter Members at the time of closure retain their locked rate and badge for the life of their continuous subscription. Once closed, no new $99 contributions will be accepted and the Charter Member rate will not be available to new or resubscribing customers. The multi-location benefit is a Charter period exclusive — it is available only during the active Charter Member enrollment period and only at the time of initial signup. After the Charter Member program closes to new enrollments, this benefit will not be available to new or resubscribing customers. Active Charter Members who enrolled with multiple locations before the program closed retain their multi-location setup for the life of their continuous subscription.
You are solely responsible for the accuracy of your listing information, including your business name, address, category, description, website, and any Tiding updates you post. You represent that you have the right to use all content you submit, including any trademarks or intellectual property. You agree not to submit content that is: • False or misleading about your business or any other person or business. • Making false claims about competitors or other businesses listed on TidingsView. • Illegal or promotes illegal activity. • Harassing, threatening, or abusive. • Adult or sexually explicit. • Spam or irrelevant to your business. These content standards apply to all content you submit, including your listing information and any Tidings you post. TidingsView reserves the right to edit, remove, or refuse any content at our sole discretion.
The Tiding is a 141-character live update that appears publicly on the TidingsView globe alongside your business pin. Because Tidings are visible to all users worldwide, the following standards apply in addition to the general content standards above: • Your Tiding must relate to your business — updates, hours changes, promotions, events, or announcements relevant to your operation. • Your Tiding must not contain false or misleading claims about your business, products, services, or any other person or business. • Your Tiding must not contain content that is threatening, harassing, defamatory, adult or sexually explicit, or unlawful. • Your Tiding must not be spam — including repeated identical updates posted in rapid succession with no new information. • Your Tiding must not impersonate another business or entity or make false claims about a competitor. • Your Tiding must not violate FTC guidelines on advertising disclosures. If your update is a paid promotion or sponsored content, it must be clearly labeled as such. TidingsView may remove any Tiding that violates these standards at any time without prior notice. Where practicable, we will notify you by email when a Tiding is removed. Repeated Tiding violations may result in suspension of Tiding privileges or removal of your listing.
Your listing activates immediately upon payment confirmation — no manual approval step is required. You will receive a welcome email with a link to your business dashboard within minutes of payment. Your listing will appear in the TidingsView directory for your city or region shortly after activation. Due to caching, it may take up to 30 minutes for your listing to appear in all geographic regions of TidingsView following activation. In most cases it will appear significantly faster. TidingsView reviews all new listings and reserves the right to remove any listing that does not meet our platform standards, including but not limited to listings for businesses that are not genuine, listings with false or deceptive content, duplicate submissions, or listings inconsistent with TidingsView's community focus. If TidingsView removes your listing during the first billing period for platform standards reasons unrelated to your conduct, you will receive a full refund of all payments made, including any Charter Member contribution paid. After the first billing period, or for removals caused by subscriber content violations, the removal and refund terms in §6 apply. Activation of a listing does not create any ongoing obligation to keep it active — we may remove a listing at any time for violations of this Agreement.
TidingsView may suspend or permanently remove your listing at our sole discretion if: • You violate these terms. • Your payment lapses, in which case your listing will be deactivated at the end of the paid period. • We receive complaints from readers or other platform users that, in TidingsView's reasonable judgment, suggest a pattern of conduct harmful to platform users. • We determine continued listing is not in the interest of our readers or platform. For non-urgent violations, we will notify you via email and provide 5 business days to cure the violation before removal. If the violation is cured within that period, no further action will be taken. For urgent content violations — including but not limited to content that is illegal, harassing, threatening, or poses an immediate risk of harm — TidingsView may remove your listing immediately without prior notice. We will notify you via email promptly following such removal. If you believe your listing was removed or suspended in error, you may submit a dispute by emailing legal@tidingsview.com with the subject line "Listing Dispute" within 30 days of removal. Include your business name, the email address on your account, and an explanation of why you believe the removal was in error. We will review disputes and respond within 10 business days. TidingsView's decision following the dispute review is final. Refunds on removal: Removals during the first billing period for platform standards reasons unrelated to subscriber conduct result in a full refund of all payments made, including any Charter Member contribution — see §5. Removals for subscriber content violations are non-refundable. Removals for payment lapses result in listing deactivation at the end of the paid period with no additional charge.
TidingsView is a directory platform, not a publisher or endorser of any listed business. We are not responsible for any business outcomes, customer actions, or results arising from your listing. To the maximum extent permitted by law, TidingsView's total liability to you for any claim arising from this Agreement shall not exceed the total amount you paid in the three months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages.
You agree to indemnify and hold harmless TidingsView LLC, its members, officers, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your listing content, your business operations, your violation of these terms, or any claim by a third party related to your business or the content you submit.
We may update these terms from time to time. We will notify you via the email on file at least 14 days before material changes take effect. Continued use of your listing after that date constitutes acceptance of the updated terms. If you do not agree, you may cancel your listing before the effective date.
This Agreement is governed by the laws of the State of Ohio, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Medina County, Ohio. You waive any objection to the jurisdiction of such courts.
A business listing on TidingsView does not constitute an endorsement, recommendation, or verification of your business by TidingsView LLC. TidingsView is a directory platform. Readers are responsible for independently evaluating any business they find on TidingsView. TidingsView makes no representations about the quality, safety, or reliability of any listed business.
As a Subscriber, you agree not to use your listing or TidingsView's platform to: • Make false, misleading, or deceptive representations about your business. • Imply a partnership, endorsement, or special relationship with TidingsView beyond that of a directory listing subscriber. Violation of this section may result in immediate removal without refund.
